Terms and Conditions
1. AGREEMENT TO TERMS
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity, and FRULIV S.R.L.
The website www.seriosfood.ro (hereinafter referred to as the "Site") is operated by FRULIV S.R.L. (commercial brand SERIOSFOOD), with its registered office in Oradea, Str. Depozitului, No. 24, Office No. 2, Bihor County, Romania, registered with the Trade Register Office under no. J5/531/2014, Tax Identification Code RO 32987210 (hereinafter referred to as the "Seller").
By accessing and using the Site, as well as by placing an order, the Buyer declares to have read, understood, and expressly accepts these General Terms and Conditions of Sale, in accordance with the provisions of Law no. 365/2002 on electronic commerce and Government Emergency Ordinance no. 34/2014 on consumer rights.
Definitions:
- Seller: FRULIV S.R.L. (commercial brand SERIOSFOOD), operator of the Site.
- Buyer: any natural or legal person who places an order through the Site.
- Order: an electronic document that acts as a form of communication between the Seller and the Buyer, through which the Buyer expresses their intention to purchase products from the Site.
- Products: any food item listed on the Site for sale, be it ambient, refrigerated, or frozen.
2. PRODUCTS
All products sold through the Site are international culinary specialties, imported and distributed in accordance with current Romanian legislation, including ANSVSA regulations on food safety. The products comply with the requirements of Regulation (EC) No 852/2004 on the hygiene of foodstuffs and Regulation (EU) No 1169/2011 on the provision of food information to consumers.
Product images are for informational and guidance purposes. The actual appearance of the product may differ slightly from the photograph, without affecting its quality or essential characteristics.
Information regarding ingredients, allergens, nutritional values, storage conditions, and preparation instructions is available on the label of each product and on the product page on the Site.
3. PRICES AND PAYMENT METHODS. ORDER.
All prices displayed on the Site are expressed in RON (Romanian Lei) and include VAT in accordance with current tax legislation. Prices may be changed by the Seller without prior notice, but changes will not affect already confirmed orders.
Payment can be made by the following methods:
- Bank card (Visa, Mastercard, American Express, UnionPay) through the secure Shopify Payments processor
- Apple Pay / Google Pay
- PayPal
Transactions are encrypted and processed according to international security standards. The Seller does not store and does not have access to the Buyer's bank card details.
Minimum order and delivery costs
The minimum order is 150 RON. For orders between 150 and 400 RON, a delivery fee of 50 RON is charged. Orders over 400 RON benefit from free delivery.
Placing and confirming the order
By placing an order on the Site, the Buyer makes a firm offer to purchase addressed to the Seller. The sales contract is considered concluded when the Buyer receives order confirmation at the indicated email address.
The Seller reserves the right to refuse or cancel an order if the ordered products are no longer available in stock, the data provided by the Buyer is incomplete or incorrect, or in case of suspected fraud.
4. DELIVERY
Delivery is made throughout Romania, by courier, with thermal insulation packaging and dry ice to maintain the cold chain. The estimated delivery time is 24-48 hours from dispatch.
Shipping is done from Monday to Thursday. Orders placed on Thursday after 4:00 PM, Friday, or during the weekend will be shipped the following Monday. No deliveries are made on Mondays, public holidays, or the day immediately following a public holiday.
The Buyer is obliged to ensure that they are available at the delivery address and that the contact details provided are correct. The Seller is not responsible for the deterioration of perishable products caused by the impossibility of delivery due to reasons attributable to the Buyer (absence from the address, incorrect contact details, refusal of receipt, repeated rescheduling).
Warning regarding dry ice handling
To maintain the optimal freezing temperature, products are delivered in isothermal packaging containing dry ice. By completing the order, the Buyer confirms having acknowledged the following risks and strict safety rules.
Risk of cryogenic burns (frostbite)
Dry ice has an extremely low temperature, approximately -78.5°C. Direct contact with skin or eyes causes tissue burns, similar to severe thermal burns.
It is strictly forbidden to touch dry ice with bare hands or without protective equipment. Dry ice must not be ingested, must not be left within reach of children, and must not be stored in enclosed, airtight spaces, or in the freezer.
The Seller disclaims any legal or financial liability for personal injuries, cryogenic burns, material damages, or other damages caused by improper, negligent, or contrary to the above instructions handling of dry ice by the Buyer or third parties. The Buyer assumes full risks and responsibility from the moment of receiving the package.
5. TRANSFER OF RISK
The risk of loss or damage to the products is transferred to the Buyer at the time of actual receipt of the package, according to Article 1274 of the Civil Code.
6. INSPECTION UPON RECEIPT
Upon receipt, the Buyer is obliged to check the integrity of the package and products, in the presence of the courier where possible. Any visible damage to the packaging, shortages, or non-conformities must be reported immediately to the courier and communicated to the Seller within 24 hours of receipt.
Since the products are perishable and temperature-sensitive, the Buyer is obliged to store the products in the freezer immediately after receipt, according to the instructions on the label.
7. RIGHT OF WITHDRAWAL/RETURN
According to Article 16 letter d) of Government Emergency Ordinance no. 34/2014, the right of withdrawal (14-day return) does not apply to perishable food products or those with a short shelf life, as well as to sealed products that cannot be returned for hygiene or health protection reasons and that have been unsealed after delivery.
In the event that the received product does not correspond to the order or arrived damaged/thawed, the Buyer has the right to replacement or refund, according to the "Return Policy" page available on the Site.
8. CONFORMITY GUARANTEE
The Seller guarantees that all products sold comply with the description on the Site, respect food safety standards, and are delivered within their shelf life, in accordance with the provisions of Government Emergency Ordinance no. 140/2021 regarding the sale of goods and their associated guarantees. The shelf life is between 18 and 24 months from the production date, depending on the product, and is indicated on the packaging of each product.
9. SELLER'S LIABILITY
The Seller is not responsible for:
- Damages caused by improper use of the products or non-compliance with storage and preparation instructions
- Delays in delivery caused by force majeure, extreme weather conditions, or dysfunctions of courier services
- Deterioration of products as a result of re-freezing after thawing, if the Buyer has been informed by labeling
10. FORCE MAJEURE
Neither party shall be liable for the failure to perform on time or the improper performance of obligations if this is due to an event of force majeure, as defined by Article 1351 of the Civil Code.
11. INTELLECTUAL PROPERTY
The entire content of the Site (texts, images, logos, graphics, software) is the property of FRULIV S.R.L. (commercial brand SERIOSFOOD) or its licensors and is protected by copyright and intellectual property legislation.
No element of the content may be copied, reproduced, published, uploaded, transmitted, distributed, sold, or commercially exploited without the written consent of the Seller.
12. PROHIBITED ACTIVITIES
You may not access or use the Site for any purpose other than that for which it is made available.
As a user of the Site, you agree NOT to:
- Systematically collect data or content to create databases or directories without written permission
- Mislead or defraud us or other users
- Circumvent, disable, or otherwise interfere with security-related features of the Site
- Disparage or otherwise harm us and/or the Site
- Upload viruses, Trojan horses, or other harmful material
- Delete the copyright or other proprietary rights notice from any content
- Impersonate another person
- Interfere with the proper working of the Site
- Use the Site to compete with us or for any unauthorized commercial endeavor
13. REVIEWS GUIDELINES
We may provide areas on the Site for you to leave reviews or ratings.
When posting a review, you must comply with the following:
- Have firsthand experience with the entity being reviewed
- Not use discriminatory remarks
- Not promote illegal activities
- Not be affiliated with a competitor when posting negative reviews
- Not post any false or misleading statements
- Not organize campaigns encouraging others to post reviews
We may accept, reject, or remove reviews in our sole discretion. We have no obligation to screen or delete reviews. Reviews do not necessarily represent our opinions.
14. SITE MANAGEMENT
We reserve the right, but not the obligation, to:
- Monitor the Site for violations of these Terms and Conditions
- Take appropriate legal action against anyone who violates the law or these Terms
- Remove files and content that are excessive in size or are in any way burdensome to our systems
- Manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site
15. PRIVACY POLICY
We care about data privacy and security. Please review our Privacy Policy. By using the Site, you agree to be bound by our Privacy Policy.
16. GOVERNING LAW. DISPUTE RESOLUTION.
These Terms and Conditions are governed by Romanian law. Any dispute will be resolved amicably. If this is not possible, the dispute will be submitted to the competent courts at the Seller's registered office.
Consumers have the possibility to resort to the alternative dispute resolution (ADR) procedure through the European online dispute resolution (ODR) platform: https://ec.europa.eu/consumers/odr
Consumers can also file complaints with the National Authority for Consumer Protection (ANPC): www.anpc.ro
17. AMENDMENTS TO TERMS
The Seller reserves the right to modify these Terms and Conditions at any time, by publishing the updated version on the Site. Amendments do not affect orders already confirmed before the amendment date.
